Legal Counsel for Topsoe, Inc.

Topsoe, Inc., a Texas corporation and a subsidiary of Topsøe A/S, a company registered and based in Denmark, is currently looking for a Legal Counsel with experience in general commercial and contract law- preferably with supply agreements for equipment and catalysts, basic design engineering and chemical processing licenses.

The Topsoe, Inc. legal department, as part of the Topsoe corporate group's Global Legal Affairs department, works closely with the Topsoe sales teams and functions teams such as tax, finance and compliance, securing and safeguarding the interests of Topsoe during contract drafting and negotiations that are carried out of Topsoe's Houston office.

The Legal Counsel will join 3 other attorneys and 1 paralegal to form part of the Topsoe, Inc. legal department reporting to the Topsoe, Inc. Legal Director.

Topsoe is looking for a skilled and experienced lawyer capable of taking on complex commercial supply contracts including technology licensing, basic engineering design, and equipment sales within the U.S. domestic and international markets. The Legal Counsel will be required to work in a collaborative manner with others in the Global Legal Affairs department as well as with members of Topsoe's sales, engineering and management project teams.


PRINCIPAL DUTIES:


  • The Legal Counsel shall be responsible for drafting, negotiating and advising management and sales on Topsoe's confidentiality agreements, technology licenses, engineering agreements, equipment and supply agreements all in accordance with Topsoe's policies, procedures and guidelines.
  • The Legal Counsel shall provide support to the Global Legal Affairs in managing other legal functions related to Topsoe's operations including general commercial agreements, litigation support, subsidiary corporate governance compliance, legal research and related matters.

QUALIFICATIONS:

  • JD degree
  • 5 - 7 years of legal experience, preferably in the basic engineering design, equipment supply, and process technologies fields.
  • Spanish language skills and international experience preferred.
